ANTARA RISIKO BISNIS DAN KERUGIAN NEGARA: RELEVANSI BUSINESS JUDGMENT RULE DALAM KEBIJAKAN HAPUS TAGIH BUMN

Studi ini bertujuan untuk mengkaji terkait ketentuan hapus tagih dalam rangka perlindungan hukum bagi direksi Badan Usaha Milik Negara berkaitan dengan kerugian negara. Metode Penelitian yang digunakan adalah metode normatif dimana dalam metode ini menggunakan analisis dalam penerapan ketentuan menggunakan pendekatan yang berfokus pada hukum dengan menggunakan peraturan perundang-undangan, norma-norma hukum dan menggunakan pendekatan perundang-undangan (statute approach) dan pendekatan konseptual (conceptual approach). Ditemukan bahwa kebijakan penghapusan piutang merupakan tindakan bisnis yang sah sepanjang dilaksanakan berdasarkan prinsip kehati-hatian, tata kelola perusahaan yang baik, itikad baik, dan kewenangan yang diberikan oleh peraturan perundang-undangan. Kepastian hukum tersebut semakin diperkuat melalui Putusan Mahkamah Agung Nomor 5595 K/Pdt/2025 yang menegaskan pentingnya kepastian prosedural dalam penyelesaian sengketa, khususnya terkait penghormatan terhadap klausul pilihan domisili hukum dan kompetensi relatif pengadilan sesuai Pasal 118 ayat (4) Herzien Inlandsch Reglement (HIR).
This study aims to examine the provisions on debt write-offs in the context of legal protection for the directors of State-Owned Enterprises in relation to state losses. The research method employed is a normative method, which involves analysing the application of provisions using a law-centred approach based on legislation, legal norms, and utilising both the statutory approach and the conceptual approach. It was found that the policy of debt write-offs constitutes a legitimate business practice provided it is carried out in accordance with the principles of prudence, good corporate governance, good faith, and the authority granted by legislation. This legal certainty is further reinforced by Supreme Court Judgment No. 5595 K/Pdt/2025, which emphasises the importance of procedural certainty in dispute resolution, particularly regarding respect for choice-of-law clauses and the relative jurisdiction of courts in accordance with Article 118(4) of the Herzien Inlandsch Reglement (HIR).
