Abstract

This study aims to examine the legal reasoning (ratio decidendi) of Supreme Court Decision Number 44 K/Pdt.Sus-Pailit/2025 in assessing the validity of a Cessie Deed over claims secured by third-party assets following debtor insolvency, as well as to formulate the parameters of the precautionary principle (due diligence) and the scope of notarial liability to mitigate the risk of unlawful act (Perbuatan Melawan Hukum) lawsuits. This study employs a normative legal research method with statutory and case approaches. The findings indicate that mortgage collateral owned by a third-party guarantor constitutes separate patrimony located outside the bankruptcy estate (boedel pailit) pursuant to Article 21 of the Bankruptcy and PKPU Law. Consequently, the expiration of the two-month deadline under Article 59 paragraph (1) of the Bankruptcy and PKPU Law does not extinguish the secured creditor’s civil rights to assign its claims. By virtue of the accessoir nature and the droit de suite principle under Article 613 of the Indonesian Civil Code in conjunction with Article 16 of the Mortgage Law, the mortgage right transfers by law to the new creditor, thereby depriving the bankruptcy receiver (kurator) of legal standing to seize the collateral or demand the annulment of the deed. Insofar as the Notary fulfills due diligence parameters—verifying the parties’ legal capacity, the underlying title of the claim, the status of the separate collateral, the bankruptcy ruling, and the inclusion of an official notification (betekening) clause—the elements of fault and unlawfulness are negated, exempting the Notary from civil sanctions under Article 84 of the Notary Law and unlawful act claims under Article 1365 of the Civil Code.
